Every UK limited company and LLP must file an annual confirmation statement with Companies House — confirming that the registered information is accurate and up to date. Missing the 14-day filing window doesn’t immediately result in a fine, but persistent non-filing leads to Companies House initiating strike-off proceedings — legally terminating your company.
The confirmation statement (formerly the Annual Return, replaced in June 2016) must be filed within 14 days of your company’s review date — which is 12 months after either incorporation or your last confirmation statement. The review date is specific to your company and does not follow a calendar year.
The statement confirms: registered office address, directors, company secretary (if any), shareholders and shareholdings, SIC codes (business activity), PSC (Persons with Significant Control) register, and share capital structure. Any changes to these details since the last confirmation statement must be updated in the statement. The confirmation statement must be filed within 14 days of the review date — not the end of the month, not the calendar year-end. Each company’s review date is different. Missing the window leads to an escalating series of Companies House reminder letters and ultimately a strike-off notice. We track every client’s review date and file typically 3-4 weeks before the deadline.
Changes to PSC information (new PSC, change in PSC nature, cessation of PSC) must be notified to Companies House within 14 days of the change — not just at confirmation statement time. Many companies accumulate PSC changes and try to update them all at once in the annual CS01. This is non-compliant — each change requires its own filing within 14 days.
Standard Industrial Classification (SIC) codes must accurately reflect your company’s main business activities. Many companies use incorrect SIC codes from formation and never review them. Incorrect SIC codes can trigger HMRC risk flags. We review SIC codes for every client at each confirmation statement.
The confirmation statement and annual accounts are two separate filings with two separate deadlines. The CS01 is due within 14 days of the review date. Annual accounts are due 9 months after the year end. Confusing the two means one deadline is missed. We track both separately for every client.

It is due within 14 days of your company’s review date — which is 12 months after either incorporation or your last confirmation statement. The online filing fee is £13. Missing the 14-day window triggers reminder notices and ultimately strike-off proceedings.
The CS01 confirms: registered office address, all director details, company secretary (if any), shareholders and percentage shareholdings, Standard Industrial Classification (SIC) codes, Person with Significant Control (PSC) register details and share capital structure. Any changes since the last statement must be reflected in the current filing.
The Persons with Significant Control (PSC) register records individuals and entities that exercise significant control over a company — broadly, anyone holding more than 25% of shares, voting rights or significant influence/control. The PSC register must be maintained at the registered office (or SAIL address) and filed with Companies House. Changes to PSC information must be notified within 14 days. Failure to maintain an accurate PSC register is a criminal offence.
Missing the 14-day window triggers a series of Companies House compliance actions — initially reminder letters, then a notice of intent to strike off, and finally compulsory strike-off (removal from the register). A struck-off company ceases to exist legally — bank accounts are frozen, contracts become unenforceable and assets vest in the Crown. Reinstatement requires a court application (if more than 6 years has passed) and payment of all outstanding fees.
Yes — even dormant companies must file annual confirmation statements. The only exemption is for companies that have been voluntarily struck off (DS01 filed) or that are in formal dissolution proceedings. A dormant company that fails to file confirmation statements will be struck off by Companies House in exactly the same way as an active company.
